Terms of Service

October 2026

Final effective date has not been established.

Development Draft — Not Final

This document is provided for development and eBay Sandbox integration testing. It is subject to revision and legal review and is not the final published agreement or policy for Tradventory customers.

Operated by MP Merchandise LLC, Kansas, United States

Welcome to Tradventory

Thank you for choosing Tradventory.

Tradventory is an online inventory, order management, and business reporting service designed to help resellers organize their inventory, manage their operations, and better understand their business.

These Terms of Service ("Terms") explain the conditions under which you may access and use Tradventory.

By creating an account or using our services, you agree to these Terms and our Privacy Policy.

If you create or manage an account on behalf of a business or organization, you confirm that you have authority to act on its behalf.

Throughout these Terms, "Tradventory," "we," "us," and "our" refer to MP Merchandise LLC, the Kansas limited liability company operating Tradventory.

1. Eligibility and Registration

Tradventory is intended for users and businesses located in the United States.

To create an account, you must:

  • Be at least 18 years old.
  • Provide accurate registration information.
  • Maintain a valid email address.
  • Agree to these Terms and our Privacy Policy.
  • Use Tradventory only for lawful purposes.

You are responsible for keeping your account credentials secure.

You may not share your login credentials with another person. Each person accessing an organization should use their own authorized user account.

You are responsible for activity performed through your account, except where unauthorized activity results from circumstances for which Tradventory is legally responsible.

Please notify us promptly if you believe your account has been accessed without authorization.

2. Organizations, Memberships, and Permissions

Tradventory allows multiple users to work within the same organization.

An organization may have an Owner, Administrators, and other members with different permissions.

Organization Ownership

The Organization Owner is responsible for managing the organization's account, subscription, and authorized access.

An organization may authorize additional users to access its information according to their assigned permissions.

Users may belong to multiple organizations, but membership in one organization does not grant access to another.

Each organization's subscription and associated allowances are separate from the subscriptions and allowances of other organizations.

Organization Ownership Disputes

If ownership of an organization is disputed, Tradventory may require documentation demonstrating appropriate legal authority before transferring ownership or administrative control.

We may temporarily restrict administrative changes while an ownership dispute is reviewed.

We will make reasonable efforts to protect organizational information and avoid unauthorized transfers.

Tradventory does not independently determine business ownership disputes or replace the role of courts and other appropriate legal authorities.

Removing Members

Authorized organization administrators may remove members or change their permissions.

Removing a user does not delete the organization's business information.

Personal preferences associated with a removed user may be deleted when no longer needed.

3. Use of the Service

Tradventory provides software tools for inventory management, order management, marketplace integration, business reporting, and related activities.

Specific features depend on your subscription plan, permissions, and the functionality currently available.

We may add, modify, improve, or discontinue features as Tradventory develops.

We will make reasonable efforts to notify affected subscribers before making material changes to paid features.

We may temporarily interrupt service for maintenance, upgrades, security issues, or circumstances beyond our reasonable control.

Although we strive to provide a reliable service, we do not guarantee uninterrupted or error-free operation.

4. Subscription Plans and Usage Limits

Tradventory may offer a Free plan and multiple paid subscription plans.

Each plan includes specific features, usage allowances, and limitations.

Current plan details and prices will be displayed on our website or within the application before purchase.

Organization-Based Subscriptions

Subscriptions belong to organizations rather than individual users.

A user's available features depend on the subscription assigned to the organization they are currently accessing, together with that user's permissions.

Membership in an organization with a higher subscription tier does not extend those features to the user's other organizations.

Order Limits

Subscription plans may include monthly order-processing allowances.

For paid plans, Tradventory may provide temporary allowances that permit limited usage beyond the normal monthly order limit.

Such allowances are discretionary and are governed by the applicable plan details displayed within the service.

Temporary overages do not permanently increase a subscription's order allowance.

Organizations that repeatedly exceed their limits may be required to upgrade or reduce usage to continue processing additional orders.

Free accounts are subject to their published limits and do not receive the temporary overage allowances offered to paid plans.

AI Usage Limits

Subscription plans may include credits or allowances for artificial intelligence features.

When the applicable AI allowance is exhausted, additional AI operations may be unavailable until the allowance is renewed or additional usage is authorized through an available option.

Tradventory is not obligated to provide AI usage beyond the applicable allowance.

Changes to Plans

We may change subscription features, prices, and allowances over time.

Material changes affecting existing paid subscriptions will be communicated in advance as required by applicable law.

We will not impose a new subscription charge or paid upgrade without the subscriber's authorization.

5. Billing and Payments

Paid subscriptions are billed through our payment processing provider, Stripe.

Available billing periods may include monthly and annual subscriptions.

Subscription prices, billing frequency, renewal terms, and applicable taxes will be disclosed before you authorize payment.

Automatic Renewal

Unless otherwise stated when you subscribe, paid subscriptions renew automatically at the end of each billing period until canceled.

By purchasing an automatically renewing subscription, you authorize the recurring charges disclosed during checkout.

You may cancel automatic renewal using the subscription management options provided by Tradventory.

Cancellation stops future renewal charges, subject to charges already incurred and the refund provisions below.

Monthly Subscription Cancellations

Monthly subscribers may cancel at any time.

If a monthly subscription is canceled within three calendar days after the applicable monthly subscription charge, that charge is eligible for a refund.

After three calendar days, the current monthly charge is generally nonrefundable unless otherwise required by law.

When a monthly subscription is canceled without a refund, paid access ordinarily continues through the end of the paid billing period.

Annual Subscription Cancellations

Annual subscribers may cancel before the end of their annual subscription term.

Annual subscriptions are eligible for a prorated refund based on the number of full unused months remaining in the subscription period.

The refund is calculated using the annual subscription amount actually paid, including any annual billing discount, rather than the undiscounted monthly subscription price.

Partial unused months are not refunded unless required by law.

Refunding unused months ends paid access for those refunded periods. The organization may then continue under the Free plan, subject to its available features and limits.

Refund Processing

Approved refunds will generally be returned through the original payment method.

Processing times may depend on Stripe and the financial institution involved.

Nothing in these Terms limits refund rights that cannot legally be waived.

6. Failed Payments and Subscription Downgrades

If a subscription payment fails, Tradventory will allow a 15-day grace period for the payment issue to be resolved.

During this period, we may notify the Organization Owner and request an updated payment method.

If payment remains unresolved after 15 days, the organization's subscription will be downgraded to the Free plan.

A payment-related downgrade does not automatically delete the organization's business data.

However, the organization becomes subject to the Free plan's features and usage restrictions.

Previously stored information may remain available even when the Free plan does not permit additional activity of the same type.

If payment is successfully resolved, the organization may restore an eligible paid subscription.

7. Your Business Data

You retain ownership of the business information you independently create, enter, or upload to Tradventory.

This may include:

  • Inventory and product records
  • Purchase costs and financial records
  • Original descriptions and photographs
  • Supplier and consignor information
  • Independently entered sales records
  • Other original business information

You grant Tradventory the limited permission necessary to host, process, store, back up, and display this information for the purpose of providing authorized services, supporting the application, and complying with legal obligations.

We do not claim ownership of your independently created business information.

Information originating from third-party marketplaces remains subject to applicable third-party ownership rights and usage restrictions.

Accuracy of Information

You are responsible for the accuracy and completeness of information you enter or authorize Tradventory to process.

Tradventory may calculate reports and financial results using information you provide or import from authorized services.

Inaccurate source information, incomplete records, incorrect settings, or missing transactions may affect calculated results.

You should review important information before using it for financial, accounting, tax, purchasing, or other business decisions.

8. Marketplace Connections and Third-Party Services

Tradventory may allow connections to eBay and other supported marketplaces or business platforms.

These connections use officially supported authorization methods and APIs where available.

You authorize Tradventory to access and process information permitted by the connected service and the permissions you approve.

Your Marketplace Responsibilities

You remain responsible for:

  • Maintaining your marketplace accounts.
  • Following each marketplace's applicable policies.
  • Ensuring your listings and sales activities are lawful.
  • Reviewing information and actions submitted through integrations.
  • Complying with marketplace requirements concerning buyer information.

Tradventory does not replace or modify your separate agreements with connected marketplaces.

Availability of Integrations

Marketplace integrations depend on services operated by independent third parties.

A marketplace may change its API, permissions, access requirements, rate limits, or policies at any time.

Tradventory may need to modify, restrict, suspend, or discontinue an integration to remain compatible with applicable technical or contractual requirements.

We do not guarantee that a particular marketplace integration will remain continuously available or support every possible feature.

eBay-Specific Terms

If you connect an eBay account or access eBay content through Tradventory, the following additional conditions apply:

1. Your use of eBay content through Tradventory is subject to the applicable eBay Developers Program API License Agreement (https://developer.ebay.com/join/api-license-agreement), and you agree to be bound by its applicable requirements.

2. eBay is an intended third-party beneficiary of the provisions governing your use and display of eBay content and may enforce those provisions directly.

3. Any sublicense or permission to display eBay content through Tradventory is limited to uses authorized by eBay and may be revoked at any time.

4. You may not use information obtained through Tradventory to violate eBay's agreements, privacy requirements, intellectual property rights, or data-use restrictions.

5. Access to eBay-derived information and related functionality may be restricted or discontinued when required by eBay.

Nothing in these Terms grants rights to eBay content or services beyond those permitted by eBay.

Marketplace Financial Reporting

Tradventory may provide financial and inventory reports based on authorized transaction information and independently recorded business data.

Availability of particular reporting features may depend on marketplace permissions and applicable agreements.

We may restrict calculations, reports, exports, or other uses of marketplace information when necessary to comply with those requirements.

9. Financial Reporting and Business Decisions

Tradventory provides tools intended to help users understand inventory costs, sales activity, financial performance, and other business information.

Tradventory is not an accounting firm, tax advisor, financial advisor, or legal advisor.

Reports and calculations are provided for informational and business management purposes.

We do not guarantee that:

  • Your business will earn a profit or achieve a particular level of success.
  • A product will sell within a particular period.
  • Financial calculations will always be complete or error-free.
  • Imported marketplace information will always be current or accurate.
  • Tradventory's reports will satisfy every accounting, regulatory, or tax-reporting requirement.

You remain responsible for verifying financial information and obtaining qualified professional advice when appropriate.

We strive to maintain accurate calculations and correct identified problems, but we do not guarantee particular financial or business outcomes.

10. Artificial Intelligence Features

Tradventory may offer optional AI-assisted tools for preparing listings, improving descriptions, editing photographs, and related activities.

AI-generated content may contain inaccuracies or other imperfections.

You are responsible for reviewing generated content before publishing or relying upon it.

You must ensure that content you submit to AI features is information you are authorized to use for that purpose.

Marketplace-derived content will be subject to the originating marketplace's restrictions.

Our handling of information submitted to AI providers is described in our Privacy Policy.

We do not authorize customer information submitted through Tradventory to be used for AI model training.

11. Acceptable Use

You agree to use Tradventory lawfully and responsibly.

You may not:

  • Use Tradventory to engage in fraud, illegal transactions, or other unlawful activities.
  • Access another person's account or organization without authorization.
  • Attempt to bypass account permissions, subscription limits, or security measures.
  • Interfere with the security or operation of Tradventory.
  • Introduce malware or other harmful software.
  • Use automated tools to overload or disrupt the service.
  • Reverse engineer, copy, or redistribute Tradventory's proprietary software except where expressly permitted by applicable law.
  • Misuse marketplace information, including buyer personal information.
  • Use integrations in violation of the connected service's applicable terms.
  • Upload or distribute material that violates another person's rights or applicable law.

We may investigate suspected misuse and restrict or suspend access when reasonably necessary to protect the service, its users, or third parties.

12. Intellectual Property

Tradventory and its associated software, application designs, logos, trademarks, and proprietary materials belong to MP Merchandise LLC or their respective licensors.

This includes Tradventory-created listing templates, report templates, software components, and other built-in resources.

Your subscription provides a limited, nonexclusive, nontransferable right to access and use the service according to these Terms.

It does not transfer ownership of Tradventory's software or proprietary materials.

You retain ownership of original content you independently create or upload, subject to applicable third-party rights.

Feedback and Suggestions

We welcome feedback, ideas, suggestions, and recommendations.

By voluntarily submitting feedback concerning Tradventory, you grant MP Merchandise LLC a perpetual, worldwide, royalty-free right to use, adapt, develop, and incorporate that feedback into its products and services without compensation or an obligation to implement it.

This provision applies to suggestions and feedback, not to ownership of your underlying private business records.

13. Account Closure and Data Retention

You may request closure of your individual account.

An authorized Organization Owner may request permanent closure of an organization, subject to appropriate verification.

Individual Accounts

Closing an individual account does not delete shared information belonging to an organization.

User-specific settings and preferences may be removed when no longer needed.

Canceling a Paid Subscription

Canceling a paid subscription does not automatically close an organization or delete its records.

An organization may continue on the Free plan when eligible.

Permanent Organization Closure

Permanent organization closure is separate from subscription cancellation.

When an organization is permanently closed, its information will be handled according to our Privacy Policy and applicable legal and marketplace requirements.

Our intended general deletion periods are:

  • Business and account records: within six months of permanent closure, unless longer retention is legally required.
  • Uploaded photographs and images: within three months of permanent closure, unless longer retention is legally required.
  • Marketplace authorization credentials: promptly removed or invalidated following closure.

Some information may require earlier deletion under marketplace rules or applicable law.

Data Export

Tradventory may provide export functions for selected inventory records, SKUs, reports, or other information.

We do not guarantee that these exports will include every record or every type of information stored in an organization.

Users are encouraged to export important records through available features before permanently closing an organization.

Inactive Free Accounts

Free accounts may be subject to an inactivity policy.

Organizations associated with accounts that have had no user login for six consecutive months may be eligible for closure under that policy.

We will provide advance notice to the registered email address before closing an account for inactivity.

Any deletion following closure will remain subject to our Privacy Policy and applicable law.

14. Suspension and Termination

Tradventory may temporarily suspend or terminate access when reasonably necessary because of:

  • Serious violations of these Terms.
  • Fraudulent or unlawful activity.
  • Security threats or unauthorized access.
  • Misuse of marketplace integrations.
  • Legal or regulatory requirements.
  • Extended inactivity under an applicable account policy.
  • Other circumstances in which continued access would create significant risk to the service or its users.

When appropriate, we will make reasonable efforts to provide notice and an opportunity to resolve the issue.

Immediate action may be necessary to address security threats, unlawful activity, or urgent legal obligations.

Suspension or termination does not automatically eliminate any outstanding payment obligations or rights that survive under these Terms.

Customer information will be handled under our Privacy Policy and applicable marketplace requirements.

15. Disclaimer of Warranties

Tradventory is provided on an "as available" basis.

We work to maintain reliable, secure, and useful software, but cannot promise uninterrupted availability or that every feature will be free from errors.

To the extent permitted by applicable law, we disclaim implied warranties, including merchantability, fitness for a particular purpose, and noninfringement, except where such warranties cannot legally be excluded.

Nothing in this section removes responsibilities or customer protections that cannot legally be waived.

16. Limitation of Liability

To the maximum extent permitted by applicable law, Tradventory and MP Merchandise LLC will not be liable for indirect, incidental, special, consequential, or punitive damages arising from use of the service, including lost profits, business opportunities, or interruptions, except where such limitations are prohibited by law.

To the maximum extent permitted by applicable law, the total aggregate monetary liability of MP Merchandise LLC arising from or relating to Tradventory shall not exceed the greater of (a) $500 USD or (b) the total subscription fees paid by the applicable customer during the 12 months immediately preceding the event giving rise to the claim.

This is an aggregate cap rather than a separate limit for each individual claim. Its application to organization accounts, multiple users, and related claims will be reviewed before publication.

This provision does not exclude or limit liability that cannot legally be excluded, including any liability for which applicable law prohibits limitation.

17. Dispute Resolution and Arbitration

We prefer to resolve disagreements directly whenever possible.

Before beginning formal legal proceedings, you agree to contact us at [email protected] with a description of the dispute and provide a reasonable opportunity to resolve it.

We will make a good-faith effort to respond and seek a resolution.

Binding Arbitration

Except for disputes that applicable law permits or requires to be handled in court, disputes arising from these Terms or use of Tradventory will be resolved through binding individual arbitration under the Federal Arbitration Act, to the extent legally enforceable.

The final arbitration procedures, administrator, allocation of costs, exceptions, and any class-action waiver will be specified before these Terms become effective.

Small-claims court and other nonwaivable legal remedies will remain available where required by applicable law.

Governing Law

These Terms are governed by the laws of the State of Kansas, United States, except where applicable federal law or other controlling law requires otherwise.

For disputes properly heard in court, the parties consent to the jurisdiction of appropriate courts in Kansas, except where law requires another forum.

18. Private Beta Participation

Tradventory may offer access to unfinished or experimental features through private beta programs.

Beta features may be incomplete, may change significantly, and may experience additional interruptions or errors.

Participation in an invited private beta may be governed by a separate Beta Participation Agreement.

Beta participants are not required to keep the existence of Tradventory or their general experiences confidential unless a separate agreement expressly provides otherwise.

Beta testers may use the service with real business information, subject to applicable program terms and available features.

When private beta access ends, participants may choose an available paid subscription, including any offered beta-tester discount.

Participants who do not affirmatively enroll in a paid subscription will transition to the Free plan, subject to the applicable limits.

Tradventory will not automatically begin charging beta participants merely because the beta period has ended.

19. Changes to These Terms

We may update these Terms as the service develops or legal requirements change.

We will post updated Terms and revise their effective date.

For material changes, we will provide appropriate advance notice.

Continued use after the effective date of updated Terms may constitute acceptance where permitted by law. Where affirmative consent is required, we will request it.

Changes will not retroactively remove rights or legal protections that cannot lawfully be modified.

20. General Provisions

These Terms, together with our Privacy Policy and any applicable supplemental agreements, govern your use of Tradventory.

If a provision is found unenforceable, the remaining provisions will continue to apply to the extent permitted by law.

Failure to enforce a provision on one occasion does not waive our right to enforce it later.

Nothing in these Terms creates an employment, partnership, joint venture, or agency relationship between Tradventory and its subscribers.

You may not assign your contractual rights or obligations without our consent, except where applicable law provides otherwise.

Tradventory may transfer its rights or obligations in connection with a lawful business reorganization, merger, or acquisition, subject to applicable privacy and legal requirements.
